Regulatory Status

Prime Litmus Investment Management Ltd. acts as the Investment Manager to the Prime Litmus Real Estate Opportunities Fund, a SEBI-registered Category II Alternative Investment Fund.

All schemes are governed by the SEBI (Alternative Investment Funds) Regulations, 2012 and subsequent amendments. Investments are subject to market and credit risks.

Conflicts of Interest

Prime Litmus has adopted a Conflicts of Interest policy that requires identification, mitigation and documented disclosure of any actual or potential conflict involving its sponsors, group entities, employees and the Fund.

Material conflicts are disclosed to the Investment Committee and, where required, to investors via the Private Placement Memorandum or scheme communications.

Fees and Expenses

Detailed disclosure of management fees, performance fees, hurdle rate, catch-up and fund expenses is provided in the Private Placement Memorandum.

Any deviation from the disclosed fee structure for specific investor classes is documented through Side Letters as permitted under SEBI AIF Regulations.

Risk Factors

Real estate investments are subject to general economic conditions, regulatory changes, project execution risk, counterparty risk, liquidity risk and concentration risk.

Prospective investors are advised to read the Private Placement Memorandum and related documents carefully and consult their independent advisors before investing.
